Terms of Service
These Terms & Conditions of Use (the “Terms”) constitute a legally binding agreement between you (“User,” “patient,” or “you”) and Essential Therapy Services, LLC (“ETS,” “we,” “our,” or “us”) governing your access to and use of essentialtherapy.services (the “Site”) and any related mobile or web applications, portals, content, products, and services (collectively, the “Services”). PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE TERMS.
1.1 Key Definitions
- Clinician: A licensed mental‑health professional engaged by ETS.
- Content: All text, graphics, images, audio, video, and other information available through the Services.
- PHI: Protected Health Information, as defined under HIPAA.
1.2 Service Overview & Limitations
The Services provide evidence‑based psychotherapy, counseling, and behavioral‑health interventions delivered both in‑person and via telehealth. ETS is not a medical or psychiatric hospital; we do not provide emergency, inpatient, or crisis stabilization services. IF YOU ARE EXPERIENCING A LIFE‑THREATENING EMERGENCY, CALL 911 OR 988 IMMEDIATELY.
1.3 User Responsibilities
- Accurate Information: You agree to provide true, current, and complete information and to keep it updated.
- Compliance: You agree to comply with all applicable federal, state, and local laws and regulations, including HIPAA, Florida Mental Health Act, and telehealth‑related statutes (Florida Stat. §456.47).
- Technology Requirements: For telehealth, you must have reliable internet, a private environment, and compatible hardware.
1.4 Payment & Insurance
Session fees are due at the time of service unless we have a direct billing arrangement with your insurer. You authorize ETS to charge the payment method on file for outstanding balances. You are responsible for co‑pays, deductibles, or services not covered by insurance. Unpaid balances older than 60 days may be sent to collections and may include a late‑fee of 1.5% per month, where permitted by law.
1.5 Intellectual‑Property Rights & License
We grant you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Services for personal, non‑commercial purposes. Except as expressly permitted, you may not modify, distribute, reproduce, create derivative works from, or commercially exploit the Services.
1.6 Prohibited Conduct
- Uploading malware or any harmful code.
- Harassing or abusing ETS staff or other patients.
- Attempting to scrape, reverse‑engineer, or otherwise extract source code or data.
1.7 Disclaimers
THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. ETS DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. ETS DOES NOT GUARANTEE THAT THERAPY WILL PRODUCE ANY PARTICULAR OUTCOME.
1.8 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ETS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE ARISING OUT OF OR RELATED TO THE SERVICES, EVEN IF ETS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ETS’S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO ETS DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
1.9 Indemnification
You agree to defend, indemnify, and hold harmless ETS, its officers, directors, employees, contractors, and agents from and against any claims, damages, obligations, losses, and expenses (including reasonable attorneys’ fees) arising out of: (a) your use or misuse of the Services; (b) your violation of these Terms; or (c) your violation of any third‑party right, including any intellectual‑property or privacy right.
1.10 Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to other users, ETS, or third parties. Upon termination, all licenses granted to you herein shall immediately cease.
1.11 Dispute Resolution & Governing Law
These Terms are governed by the laws of the State of Florida, excluding its conflict‑of‑law rules. Any dispute or claim shall be submitted to binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association in Miami‑Dade County, Florida. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction.
1.12 Changes to Terms
We reserve the right to modify these Terms at any time. We will post the revised Terms on this page and update the “Last Updated” date. Your continued use of the Services after the effective date of revised Terms constitutes your acceptance.
